These Terms of Service ("Terms") govern your access to and use of the TradesOffice platform, website, applications and related services (the "Service").
By accessing or using the Service, you agree to these Terms. If you do not agree to these Terms, you must not use the Service.
TradesOffice is an operational administration platform designed for UK trades businesses, including sole traders and small limited companies.
The Service helps users organise, draft and manage operational business records and communications, including invoices, quotes, expenses, mileage logs, CIS records and customer administration workflows.
TradesOffice is not:
TradesOffice provides assistive drafting and operational administration tools only.
The Service is provided solely for business use.
By using the Service, you confirm that:
The Service is not intended for personal, household or consumer use. To the fullest extent permitted by law, consumer protection legislation does not apply to these Terms.

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
The Service may include:
Features may change over time and may differ between subscription plans.
The Service uses artificial intelligence and automated processing tools to assist with the preparation, drafting, organisation and classification of operational business records and communications.
All outputs generated by the Service are drafts only.
You are solely responsible for reviewing, verifying and approving all outputs before:
Outputs generated by the Service may contain inaccuracies, omissions, transcription errors, formatting issues, classification errors or incorrect calculations.
TradesOffice does not guarantee the accuracy of generated outputs, the completeness of records, the correctness of calculations, or suitability for accounting, tax or compliance purposes.
You remain solely responsible for invoices, quotes, customer communications, financial records, tax records, VAT obligations, CIS obligations and regulatory compliance.
The Service does not provide bookkeeping services, accounting advice, payroll services, legal advice, financial advice, tax advice or compliance certification.
The Service may help users maintain records that support Making Tax Digital (MTD) workflows.
TradesOffice is not currently HMRC-recognised filing software, an HMRC agent, or an HMRC-approved tax submission platform.
References to "MTD-ready records" describe operational record-keeping functionality only. TradesOffice does not guarantee HMRC acceptance, filing accuracy, regulatory compliance, successful submissions or tax accuracy.
Subscription fees are billed monthly in advance. TradesOffice will provide at least 30 days' notice by email before any material subscription price increase takes effect.
The current subscription fee is £19.99 per month. Features and pricing may change over time.
TradesOffice may suspend or restrict access to the Service where payment is unsuccessful, overdue or disputed.
If you cancel your subscription during an active billing period, TradesOffice will provide a pro-rata refund for unused days remaining in the current billing cycle.
No refunds are provided for partial monthly usage, unused features, temporary non-use of the Service, or mid-month plan changes.
TradesOffice uses third-party payment providers including Stripe. You authorise TradesOffice and its payment providers to charge applicable subscription fees using your selected payment method.
Where invoice payment functionality is enabled through Stripe Connect:
TradesOffice does not operate escrow services, act as a bank or financial institution, or process invoice payouts directly. You are responsible for complying with Stripe's applicable terms and policies.
You must not use the Service:
TradesOffice may suspend or terminate access where we reasonably believe misuse has occurred, fraudulent activity is suspected, unlawful conduct is taking place, or platform stability or security is at risk.
TradesOffice and its licensors retain all intellectual property rights in the Service, software, workflows, prompts, interfaces, branding, documentation and platform functionality.
You retain ownership of the records, images, invoices, messages and other content you upload or submit through the Service.
You grant TradesOffice a limited licence to host, process, store and transmit your content solely for the purpose of operating and improving the Service, except that your data will not be used to train AI models.
TradesOffice does not claim ownership over your uploaded business data. Subject to applicable law and third-party provider terms, outputs generated specifically for you through the Service belong to you.
Any feedback, suggestions or improvement ideas you provide may be used by TradesOffice without restriction or compensation.
The Service is provided on an "as available" and "as is" basis. TradesOffice does not guarantee uninterrupted or error-free operation.
The Service may become unavailable, delayed or degraded due to maintenance, internet outages, software defects, infrastructure failures, security incidents, third-party outages or circumstances outside our reasonable control.
TradesOffice shall not be liable for losses arising from delayed processing, failed message delivery, temporary unavailability, WhatsApp or Twilio outages, Stripe outages, OpenAI outages, Anthropic outages or cloud infrastructure failures.
Nothing in these Terms excludes liability which cannot legally be excluded under applicable law.
To the fullest extent permitted by law, TradesOffice shall not be liable for:
TradesOffice shall not be responsible for decisions made using outputs generated by the Service, inaccurate or incomplete records approved by you, customer disputes arising from invoices or communications, or actions taken by HMRC or other authorities.
The total aggregate liability of TradesOffice arising out of or relating to the Service or these Terms shall not exceed the total fees paid by you to TradesOffice during the 12 months immediately preceding the event giving rise to the claim.
TradesOffice may suspend, restrict or terminate access to the Service immediately where these Terms are breached, payment is overdue, misuse is suspected, fraudulent activity is suspected, security risks arise, or continued access could harm the Service or other users.
You may stop using the Service at any time.
Following termination or account closure: access to the Service may be removed; you may export your data for 90 days following termination; after this period account data may be permanently deleted; and certain records may be retained where legally required or in accordance with the Privacy Policy.
TradesOffice may introduce, modify or remove features at any time. Some functionality may be identified as beta, experimental or preview functionality, which may change without notice, contain defects, produce inconsistent results, or be withdrawn at any time.
TradesOffice may change AI providers, modify prompts or workflows, introduce usage limits, or alter platform functionality as the Service evolves.
TradesOffice shall not be liable for any delay or failure to perform obligations caused by events outside its reasonable control, including internet failures, telecommunications failures, cyber attacks, denial of service attacks, cloud provider outages, third-party software failures, AI provider outages, labour disputes, governmental actions, natural disasters or other force majeure events.
TradesOffice processes personal data in accordance with its Privacy Policy and Data Processing Agreement.
By using the Service, you acknowledge that personal data may be processed through third-party infrastructure providers; operational messages, images and records may be transmitted through Twilio, WhatsApp infrastructure providers and AI providers for classification and drafting purposes; and customer data may be processed by approved sub-processors listed in the Sub-Processors Policy.
Customer data submitted through the Service is not used by TradesOffice to train general-purpose AI models.
The Service integrates with third-party providers including Stripe, Twilio, Supabase, OpenAI, Anthropic and other infrastructure or communications providers. TradesOffice is not responsible for the availability, security or performance of third-party services. Your use of third-party functionality may also be subject to the relevant provider's terms and policies.
TradesOffice may update or modify the Service or these Terms from time to time. Where changes materially affect your rights or obligations, TradesOffice will give at least 30 days' notice by email before those changes take effect. Continued use of the Service following updated Terms constitutes acceptance of those changes.
If a dispute arises in connection with the Service or these Terms, the parties agree to attempt to resolve it by good-faith correspondence before commencing legal proceedings. Contact us first at [email protected]. We will acknowledge within 5 business days and aim to resolve within 30 days.
Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
